Terms of Service — KA$H AI

These Terms of Service ("Terms") govern your access to and use of the KA$H AI / KASH AI applications and related services (collectively, the "Service"). The Service is operated by ORAPEX LLC, registered in Ohio, United States ("ORAPEX," "we," "us," or "our").
1) Acceptance; Who You Are Contracting With
By accessing or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
If you use the Service on behalf of a company or other entity ("Organization"), you represent you have authority to bind the Organization, and "you" includes the Organization.
2) Eligibility (18+)
You must be at least 18 years old to use the Service. The Service is intended for business expense workflows and is not intended for minors.
3) What the Service Does
KA$H AI helps teams capture and organize business expenses. Features may include receipt/document upload, AI-assisted extraction, approvals, exports, reporting, integrations (e.g., QuickBooks), and cloud storage.
We may modify, suspend, or discontinue the Service or any feature at any time.
4) Accounts; Organization Admin Access
You are responsible for safeguarding your account credentials.
If your account is under an Organization workspace, Organization administrators may have the ability to access, review, export, manage, and delete information within that workspace, and manage user permissions.
5) User Content; License
5.1 User Content
"User Content" includes receipts, images, documents, and any information you submit or generate through the Service.
You retain your rights in User Content, subject to the license below.
5.2 License to Provide the Service
You grant ORAPEX a worldwide, non-exclusive, royalty-free license to host, store, process, reproduce, and use User Content only as needed to:
- operate, provide, secure, and improve the Service;
- perform OCR/AI extraction and related processing you request or enable;
- provide customer support;
- prevent fraud/abuse and enforce these Terms; and
- comply with legal obligations.
You represent and warrant you have all necessary rights and permissions to upload User Content (including receipts that may include third-party personal information).
6) AI / Automated Processing Disclaimer (No Accounting Advice)
The Service may use AI or other automated processes to extract or categorize data. Outputs may be inaccurate, incomplete, or inappropriate for your use case.
You are solely responsible for reviewing and verifying all extracted data and for your accounting, tax, payroll, reimbursement, compliance, and recordkeeping decisions. ORAPEX does not provide accounting, tax, legal, or financial advice.
7) Acceptable Use
You agree not to:
- violate laws or third-party rights;
- upload malware or harmful code;
- attempt unauthorized access, reverse engineering, or circumvention of security features;
- disrupt the Service or interfere with other users; or
- misuse the Service for fraudulent or deceptive purposes.
We may suspend or terminate access for suspected violations.
8) Third-Party Services (e.g., QuickBooks) and Links
The Service may connect to third-party services ("Third-Party Services"). If you enable an integration, you authorize ORAPEX to share information with and receive information from the Third-Party Service as needed to enable the integration.
Third-Party Services are governed by their own terms and policies. ORAPEX is not responsible for Third-Party Services, including availability, security, or data handling practices.
9) Subscriptions, Trial, Billing, and No Refunds
9.1 Free Trial
We may offer a free trial (currently described as 30 days, no payment method required). We may change or end trial offers at any time to the extent permitted by law.
9.2 Subscription Billing
After the trial, continued use requires a paid subscription. Fees, billing intervals, and included features will be presented at purchase.
Payments are processed through Stripe (or another payment processor). ORAPEX does not store full payment card details.
9.3 No Refunds
ALL FEES ARE NON-REFUNDABLE to the fullest extent permitted by law. We do not provide refunds or credits for unused time, downgrades, or cancellations.
9.4 Taxes
You are responsible for applicable taxes unless stated otherwise.
10) Termination; Suspension
You may stop using the Service at any time.
We may suspend or terminate your access immediately if we reasonably believe you violated these Terms, pose a security risk, or we are required to do so by law.
11) Disclaimer of Warranties
TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." ORAPEX DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.
12) Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW:
ORAPEX WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR LOST PROFITS/REVENUE, LOST DATA, OR BUSINESS INTERRUPTION.
ORAPEX'S TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF: (A) THE AMOUNT PAID BY YOU TO ORAPEX FOR THE SERVICE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) $100.
13) Indemnification
You agree to defend, indemnify, and hold harmless ORAPEX and its affiliates and personnel from claims arising out of your use of the Service, your User Content, or your violation of these Terms or law.
14) Dispute Resolution; Arbitration; Class Action Waiver
14.1 Informal Resolution
Contact us first to try to resolve any dispute informally.
14.2 Binding Arbitration
Except for eligible small-claims matters, any dispute arising out of or relating to these Terms or the Service will be resolved by binding arbitration rather than court, to the fullest extent permitted by law. The Federal Arbitration Act governs.
The arbitration will be conducted in Ohio unless the parties agree otherwise.
14.3 Class Action Waiver
You and ORAPEX agree to bring disputes only in an individual capacity, not as a plaintiff or class member in any class/collective/representative proceeding.
15) Governing Law
These Terms are governed by the laws of the State of Ohio, excluding conflict-of-law rules, except that arbitration is governed by the Federal Arbitration Act.
16) Changes to Terms
We may update these Terms from time to time. If changes are material, we will provide notice by reasonable means (e.g., within the Service, on our website, or by email). Continued use after the effective date means you accept the updated Terms.
